Jonathan co-leads the firm's technology transactions group, counseling clients through complex technology transactions from a commercial, intellectual property and privacy standpoint.

Technology Mergers and Acquisitions

Jonathan has provided strategic IP and commercial advice to serial acquirers, buyers and sellers on hundreds of mergers and acquisitions worth billions of dollars, including many industry-defining deals. Advising clients throughout the transaction lifecycle, Jonathan is pragmatic and commercial in his approach, implementing best practices for risk assessment and allocation with a focus on integration of technology businesses. He also manages the IP aspects of complex technology divestitures and carveouts.

Commercial Transactions

Jonathan leads significant and complex commercial and licensing agreements for clients in the high technology industry. Jonathan has deep expertise in structuring and negotiating cross-border transactions, joint ventures, partnering arrangements, strategic alliances, and other collaborations. Jonathan also utilizes his extensive experience to help earlier stage companies to navigate IP and commercial issues, focusing on achieving appropriate risk profiles while achieving commercial objectives.

Privacy

Jonathan also counsels clients with respect to privacy issues, particularly in the context of corporate acquisitions and international aspects of personal data processing and transfer, between the EU and the US.

Prior to joining Fenwick, Jonathan practiced in the technology transactions group of a global law firm in London and New York.
