Tracy advises on commercial transactions involving intellectual property and structuring, drafting and negotiating agreements with a focus on digital media and interactive entertainment industry products and services, including technology license agreements, content distribution agreements, game development and publishing agreements, terms of service agreements and sponsorship and influencer agreements. Tracy is also a principal member of the firm’s Games Industry Group.

As part of her IP transactions practice, Tracy regularly advises clients on digital distribution business models, e-commerce offerings, content clearance, privacy and publicity rights and copyright and DMCA issues. Tracy also counsels clients on the legal issues that arise when running sweepstakes, contests and promotions as well as assists clients with managing the risks associated with handling consumer information.

While attending law school, Tracy received the Minton Legal Fellowship from the Kernochan Center for Law, Media and the Arts. She was the founding New York editor and bureau chief of The Internet Law Journal. During Tracy's undergrad, she received departmental honors and was awarded the Phoebe Morrison Memorial Prize for distinction in political science. In 1994, she completed a year of study at the London School of Economics and Political Science.

From 2005 to 2012, Tracy worked as an associate in Fenwick’s IP and technology transactions groups. Prior to rejoining Fenwick, Tracy was an attorney at Skype.
