Mountain View, CA (October 2, 2015)– Fenwick & West is pleased to announce that the firm was honored for its role on China’s Global M&A Deal of the Year byThe American Lawyer at the 2015 Global Legal Awards. The firm received the award for advising a special committee of the board of directors of Giant Interactive Group Inc., a leading Chinese online game developer and operator, as its U.S. legal counsel in Giant’s $3 billion going private transaction.
“With a value of 3 billion dollars in cash, the Giant deal represents the second largest going-private transaction by a Chinese company listed on the New York Stock Exchange to date,” reported The American Lawyer in its announcement of the honor.
The merger agreement was pursuant to a going private deal involving a consortium made up of the chairman of the board of directors of Giant Interactive Group, an affiliate of Baring Private Equity Asia and an affiliate of Hony Capital Fund V, L.P. After the company’s shareholders approved the merger, Giant Interactive became privately held and ceased trading on the Nasdaq stock exchange.
“The lawyering was a fairly massive multi-player game in its own right, with advisers spread across Europe, Asia, North America and offshore,” noted The American Lawyer.
