Fenwick Guides Major Tech and Life Sciences M&A Deals

Fenwick’s premier mergers and acquisitions team has advised on numerous market-shaping M&A transactions across an array of industries in the technology and life sciences space, including cybersecurity, biotechnology, healthcare and software.

The group, chaired by corporate partners Doug Cogen and Kris Withrow, was also recently honored with several deal of the year awards, and named Technology Law Firm of the Year for the fifth consecutive year by Global M&A Network.

Notable 2019 deals include the firm’s representation of:

• Leading cybersecurity company Symantec in its pending $10.7 billion sale of its Enterprise Security assets to Broadcom. Lead partners included Doug Cogen, Gordon Davidson, Bomi Lee and Lynda Twomey.

• Loxo Oncology in its $8 billion acquisition by Eli Lilly and Company, broadening the scope of Lilly's oncology portfolio into precision medicines for patients with genomically defined cancers. Lead partners included corporate lawyers Effie Toshav, Doug Cogen and David Michaels.

• Shutterfly, a leading retailer and manufacturing platform dedicated to helping capture, preserve, and share life’s important moments, in its pending $2.7 billion all-cash acquisition by Apollo Global Management. Lead partners included corporate lawyers Gordon Davidson and David Michaels.

• Cisco in its pending $2.6 billion acquisition of Acacia Communications, which designs and manufactures high-speed, optical interconnect technologies that allow webscale companies, service providers, and data center operators to meet the fast-growing consumer demands for data. Lead partners included corporate lawyers Doug Cogen and Ken Myers.

• Leading supercomputer manufacturer Cray in its pending $1.3 billion acquisition​ by Hewlett Packard Enterprise (HPE). Together, HPE and Cray will have enhanced opportunities for growth, and the integrated platform, scale and resources to lead the Exascale era of high performance computing. Fenwick has served as primary outside counsel to Cray for a decade, led by corporate partners Alan Smith and David Michaels.
