Fenwick corporate governance co-chair David Bell sat down with Evan Epstein, host of the podcast Boardroom Governance, for an episode discussing the findings and themes from Fenwick’s recently published 2021 Corporate Governance Report.
Lead authored by Bell, the Corporate Governance Survey compares corporate governance practices of the companies included in the Standard & Poor’s 100 Index (S&P 100) and the technology and life sciences companies included in the Fenwick – Bloomberg Law Silicon Valley 150 List (SV 150) each year since the passage of the Sarbanes-Oxley Act of 2002. Bell is also lead author of Fenwick’s proxy season results and gender diversity reports.
Bell and Epstein discussed some of the distinctions detailed in the report, including boardroom diversity, dual-class and multi-class share structures, staggered boards, majority voting, IPOs and other corporate governance matters including some specific distinctions with private venture-backed companies.
