Fenwick Represents Symantec in $1.1 Billion Senior Unsecured Notes Offering

Fenwick & West represented Symantec Corporation (NASDAQ: SYMC), the world’s leading cyber security company, in its offering of $1.1 billion aggregate principal amount of 5.0% senior unsecured notes due 2025. The notes were sold to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended, and to certain persons in offshore transactions in reliance on Regulation S thereunder.

Symantec used the net proceeds of this offering, after deducting underwriting discounts and offering expenses, together with cash on hand, to finance the approximately $2.3 billion aggregate purchase price of its acquisition of LifeLock, Inc.
