Fenwick is representing Smartsheet (NYSE: SMAR), the enterprise platform for modern work management, in its pending $8.4 billion acquisition by funds managed by Blackstone and Vista Equity Partners.
Smartsheet’s acquisition by Blackstone and Vista Equity Partners will allow Smartsheet to enter its next phase of growth and customer success, accelerating its vision of modernizing work management for enterprises, globally. Under the terms of the agreement, Blackstone and Vista will acquire the outstanding shares of Smartsheet stock for $56.50 per share in an all-cash transaction. The transaction is expected to close in the fourth quarter of Smartsheet’s fiscal year ending on January 31, 2025, subject to customary closing conditions, including approval by Smartsheet stockholders and satisfaction of required regulatory clearances.
