Fenwick is representing Model N (NYSE: MODN), a provider of cloud revenue management solutions for life science and technology companies, in its pending acquisition by Vista Equity Partners, a global investment firm focused exclusively on enterprise software, data, and technology-enabled businesses.
Under the terms of the agreement, Vista will acquire all the outstanding shares of Model N common stock for $30.00 per share in an all-cash transaction valued at approximately $1.25 billion. The transaction is expected to close in mid-2024, subject to customary closing conditions, including approval by Model N stockholders and clearance under the Hart-Scott-Rodino (HSR) Antitrust Improvements Act of 1976.
