Fenwick & West represented Keynote Systems, Inc. (NASDAQ: KEYN), a global leader in internet and mobile cloud testing and monitoring, in its acquisition by an affiliate of private equity investment firm Thoma Bravo, LLC. Under terms of the agreement, Thoma Bravo will pay approximately $395M in cash and Keynote stockholders will receive $20.00 in cash for each share of Keynote common stock, subject to the terms and conditions set forth in the merger agreement.
