Mr. Pais' practice is in the broad area of technology-related commercial transactions, including licensing, distribution and material transfer agreements and transactions related to strategic alliances such as technology development transactions, collaborations, clinical trials and sponsored research agreements. He has additional expertise in the area of university/academic licensing transactions, representing both universities and licensees, and has assisted the University of California in creating a model licensing agreement for life science technologies. In addition, Mr. Pais works on the intellectual property aspects of significant corporate transactions such as mergers, acquisitions and spin-outs, including IP due diligence. In his practice, Mr. Pais represents clients across a broad segment of business sectors, including software, semiconductor manufacture and design, life sciences, and medical devices. He represents start-ups, established companies, universities and venture capital groups. Representative clients include ASML, Bounty Jobs, Corium International, Facebook, Intacct, Iron Solutions, Medicity, Seesmic, Ustream and Virgin America Airlines.

Mr. Pais served as one of the managing partners of the firm during 2004 and 2005. He remains responsible for managing the firm's professional development program and is also responsible for leading the firm's international practice activities. He has extensive experience assisting U.S. companies expanding their business activities in other parts of the world and non-U.S. entities establishing activities in California. He is fluent in Dutch. Mr. Pais served as Consul of the Netherlands for Northern California from 1988 through April, 2004.
Mr. Pais teaches negotiation at Stanford Law School.
Mr. Pais also has in-house experience, having worked for 2 years as general counsel of a privately-owned, Los Angeles-based, food supplement and cosmetics company. |
